Responsibility (2):
We are NOT responsible for any damage loss, delay or non delivery of our product, however in such cases we will find a resolution with the relative shipping company to provide compensation. We are NOT responsible for product specifications not matching those published on the website and or for any other factors not directly attributable to US. Technical information of the products are obtained from the information published by the manufacturers of the goods. We reserve the right to modify the technical and dimensional information of the products in the catalog even without notice, in base on what is communicated by manufacturers and suppliers.
Orders (3):
Orders are accepted trough the website or by email. Orders placed trough the website will be notified by email confirming the receipt of the order containing the relevant order number. The online order will be immediately viewable and cannot be changed directly from the website, any communication regarding the order can be entered in the appropriate delivery notes field on the online order form. Orders by email will also be notified to the customer.
Prices (4):
All prices included on the – site are VAT included unless otherwise stated or selected by us or by our Remote Selling Partner. Prices and discounts can be changed at any time, without notice. If an incorrect price is published as it is lower than the correct price by 50% or more for any reason (human error, system error, etc.), the order may be cancelled, even in case of initial validation and the product will not be delivered, unless the ordered decides to proceed with the order and accepts the payment of the amended price.
Product availability (5):
The quantity of products in our warehouse is updated during business hours. Any orders online change the availability of the product in real time, we can not always guarantee a 100% goods allocation accuracy. Although very rare any order delay will be promptly communicated to the customer. If the ordered item is not yet available in our warehouse and there is a change of price or quantity (higher or lower), we will notify buyers so to decide weather to complete change or cancel the order.
Please note:
Remote Selling Partner’s stock is updated remotely by the third part therefore we may need more time to obtain availability information by the remote warehouse.
Delivery (6):
Shipments are sent trough our carriers unless otherwise agreed. Upon delivery the customer must check the integrity of the package with what is indicated in the Invoice. In the event of discrepancies, the same must be reported and confirmed within 48 hours by email. Any anomalies deriving from transport damage must be communicated in writing to the carrier and in copy to US within 48 hours from your delivery, the customer assumes full responsibility for what has been declared. Shipping cost who are calculated by the system are subject to changes in price and delivery time. Goods must be paid within 24h via PayPal, credit card and other available methods.
Shipments of in store items typically takes 48 to 72 hours to arrive, unless otherwise specified in the product section and it could take longer depending the delivery country.
Please note:
Remote Selling Partner’s shipments could take 1-3 weeks to arrive (unless otherwise stated) and are dispatched by their warehouse. You can select delivery time and carrier options available to your country.
Returns and cancellations (7):
To cancel your order you must notify us within 14 days from the the delivery day unless otherwise stated by us or by our Remote Selling Partner.
Please Note:
Do not send any returns before we process it and confirm return address for the relevant item to our or the Selling Partner’s warehouse.
If you wish to submit a return request please notify in writing by email before or after receiving the parcel. We will issue a full refund of the order within 1 week, however if you have paid for Express delivery you may not be fully refunded for this. If you have received the goods you will be expected to cover the cost of return, if the parcel is large or weighs over 10KG please contact our Customer Services team and they may be able to advise on suitable return methods. Any cancelled items must be returned in a resalable condition, unused along with packaging, we always advise you use suitable outer packaging to ensure both the product and its packaging are kept in good condition. If you identify any damages or shortages, you must inform us in writing within 2 days of delivery, providing details. Other than by agreement, we will only accept returned Goods if we are satisfied that those Goods are defective and if required, have carried out an inspection. Subject to your compliance with this clause and/or our agreement, you may return the Goods and we will, as appropriate, repair, or replace, or refund the Goods or part of them. All returned parts are required to be sent back in original packaging and must also be in original condition as supplied. We will be under no liability or further obligation in relation to the Goods if: if you fail to provide notice as set above; and/or you make any further use of such Goods after giving notice under the clause above relating to damages and shortages; and/or the defect arises because you did not follow our oral or written instructions about the storage, commissioning, installation, use and maintenance of the Goods; and/or the defect arises from normal wear and tear of the Goods; and/or the defect arises from misuse or alteration of the Goods, negligence, willful damage or any other act by you, your employees or agents or any third parties. Acceptance of the Goods will be deemed to be upon inspection of them by you and in any event within 2 days after delivery. All items carry “manufacturer’s warranty”, in the case of defect arising after installation and shows signs of usage, it will be up to the manufacturer’s discretion to accept/reject. The projected processing time will be affected. Processing the returns can take up to 5 workings days, providing you have processed returns on time within 7 days after notifying it. A business to business (B2B) sale between us, the seller and you, the buyer, is not covered by the consumer protection (Distance Selling) Regulations.
AFFILIATES TERMS
Generate an income referring clients from your social media or website, with a unique link to post. We share a promotional 5% of the average sales price, equal to 60% of our (average) profit. New customer visits are tracked by cookies for 90 days linking any purchases automatically in real time. Affiliate Accounts are approved after assessment and meeting the requirements in compliance with our terms:
A1] Setting Up an Affiliate Account
Everybody can sign up as Affiliate however Accounts are approved after a discretionary assessment of your website or social media and it must comply with our general terms and conditions. You will be provided a unique link to post. Each ‘click’ on this link will be registered on your Affiliate Account using a cookie which is set on the user’s computer, and for each sale made through that link tracked online you will earn commission at the rate set out on our Website.
A2] Payments
We pay our Affiliates through PayPal, so you will need to have a PayPal account set up in order to receive payments. Please ensure that the PayPal email address listed on your account is correct, it is your responsibility to update your PayPal email address if you change it. Payments are normally sent the first day of each month.
It is your responsibility to declare any income for tax purpose or insurance, we are not liable for any claims, losses, damages or any other liabilities which arise as a result of you not declaring and paying those sums.
A3] Relationship Between Affiliates and SHOPiDEA
You agree that you will not at any time promote yourself as an agent or employee of SHOPiDEA.
You also agree that you have no authority to enter into any contract on behalf of SHOPiDEA unless otherwise agreed.
A4] Your Obligations as an Affiliate
You agree that you will:
(a) follow our reasonable instructions and requests in relation to your relationship with us as our Affiliate. (b) Always promote SHOPiDEA in the best light and as we would choose to do so ourselves.
(c) Familiarise yourself with the characteristics, functionality, price, performance of our services.
(d) Bear all costs and expenses incurred in connection with your activities as a SHOPiDEA Affiliate. You also agree that you will not make any statement, representation or warranty, about SHOPiDEA or our services other than those statements and representations we provide or set out on our Website.
A5] Termination and Closure of Inactive Accounts
You are not obbliged to meet sales deadlines. However, if any Affiliate Account is inactive for a period of one (1) year then we can close that account, meaning any future clicks using the unique link associated with that account can no longer be registered to that account therefore no commission can be generated.
You can choose to end your membership of our Affiliate program at any time, for any reason, by notifying us that you wish to do so. Any previous commission which has not already been paid to you at the date that your account is closed will be paid to you within two (2) months of your account being closed.
We can terminate your membership of our Affiliate program at any time, for any reason, by giving you thirty (30) days’ written notice meaning any clicks using your unique link will no longer be registered to your account. Any previous commission which has not already been paid to you will be paid on our next payment date.
We can also terminate your membership of the Affiliate program with immediate effect if you breach our Terms and do not remedy that breach (if capable of remedy). In this case no further commission will be payable, including those accrued to your account but not yet been paid and You will not be entitled to, or have any claim for compensation of any sort.
Unless these Terms state otherwise, on termination of your Affiliate Account neither you nor we will have any further obligation to the other under these Terms.
A6] Confidentiality
You agree not to disclose any Confidential Information, directly or indirectly, to any third party without our written authorization to do so, and you will exercise a reasonable level of care in protecting our Confidential Information from unauthorized use and disclosure. In particular, you agree that you will keep your account login details confidential and will not share them with any other person.
These confidentiality provisions do not apply to information that is publicly available, or obtained by you from third parties without restrictions on how you use that information.
A7] Intellectual Property Rights
As an Affiliate, SHOPiDEA grants you a non-exclusive, non-transferable, non-assignable, worldwide licence for the duration of your membership of our Affiliate Program, to use our Intellectual Property Rights for the purposes of promoting our service in accordance with these Terms.
You also agree that you will not directly or indirectly use any trade marks or trade names which resemble our own marks or names (or both) and which would cause or be likely to cause any confusion or deception to third parties.
A8] Indemnification
You indemnify, defend and hold harmless SHOPiDEA and its directors, officers, employees, distributors and agents from and against any and all claims, expenses, wages, lawsuits or other liabilities (including without limitation, reasonable legal fees and court costs) for injury to any person, or for loss or damage to personal property, which arises out of any misrepresentation by you regarding SHOPiDEA or our products, or any other of your activities as a SHOPiDEA Affiliate.
A9] Limitation of Liabilities
We make no warranties or representations (whether express or implied) with respect to the Affiliate Program or your potential to earn income as an Affiliate, or that our Website will be available or error-free at any time.
We will not be liable for any special, indirect, incidental or consequential damages (including loss of profits) arising from or relating to your membership of our Affiliate Program as a result of our Website or our services being unavailable or not performing for any period of time.
SHOPiDEA liability for all claims of any kind arising out of or related to these Terms (including for negligence), whether based on contract, tort or on other legal or equitable grounds, is limited to money damages not exceeding the amount of commission due to you and unpaid at such time and which relates directly to the particular claim.
A10] Changes to These Terms
We may make changes to any of these Terms at any time by posting new or updated Terms on on the website. If you continue to use your unique Affiliate link after we have notified you of new or updated Terms then you will be deemed to have accepted those Terms.
These Terms are governed by, and shall be construed in accordance with, the laws of England and Wales, whose courts shall have exclusive jurisdiction.
